Praise Ambassador Program — Terms & Conditions

A. Overview & Acceptance

These Terms & Conditions (the "Terms") govern your participation in the Praise Ambassador Program (the "Program") operated by Praise Energy, LLC and its brand Praise ("Praise," "we," "us," or "our"). The Program is administered through Shopify Collabs and related tools.

By applying to, being accepted into, or participating in the Program — including by checking the "I agree to the Praise Ambassador Terms" box, accepting an invitation in Shopify Collabs, or using an ambassador link, discount code, or gifted product — you ("you," "your," or "Ambassador") acknowledge that you have read, understood, and agree to be legally bound by these Terms and by any guidelines we incorporate by reference (including our Approved Claims Guide and any tier-specific addenda).

You must be 18 years of age or older to participate.
Participation is at Praise's sole discretion. We may accept, decline, suspend, or remove any Ambassador at any time.
We may modify these Terms at any time. The current version is posted at drinkpraise.com/pages/ambassador-terms with a version number and effective date. Your continued participation after an update constitutes acceptance of the updated Terms.
Violation of these Terms may result in immediate removal from the Program and forfeiture of any unpaid commissions.

You are advised to consult your own attorney before agreeing to these Terms.

B. Eligibility & Enrollment

To be eligible, you must:

Be at least 18 years old and legally able to enter into this agreement.
Reside in the United States (unless we expressly approve otherwise in writing).
Maintain an active, authentic social media presence or content channel, with real followers (no purchased or bot followers).
Align with Praise's mission and values — a faith-based, family-friendly, clean-living brand (see Section H).
Comply with the terms of service of every platform you post on.

Enrollment steps: (a) apply through our sign-up page or accept a Shopify Collabs invitation; (b) receive written approval from Praise; (c) agree to these Terms. One account and one ambassador link per person. Creating multiple accounts, or applying under multiple identities, may result in termination and commission forfeiture.

Approval, tier assignment, and any benefits are granted at Praise's sole discretion and may be changed or revoked at any time.

C. Ambassador Links, Discount Codes & Commissions

Administration. Your unique ambassador link(s), discount code(s), sales tracking, commission calculation, and payouts are managed through Shopify Collabs (or a successor platform we designate). You agree to the applicable Shopify Collabs creator terms in addition to these Terms.

Commission. Approved Ambassadors may earn a commission of 10% of Qualifying Revenue on eligible orders attributed to your ambassador link or code, as configured in Shopify Collabs. Commission rates, eligible products, and tier structures may differ by tier and may be changed by Praise with reasonable notice.

"Qualifying Revenue" means the product subtotal of an eligible order attributed to you, excluding shipping, taxes, gift cards, any discounts beyond your ambassador code, and amounts later returned, refunded, or charged back. Unless a tier expressly provides otherwise, commissions apply to first-time customer purchases only; subscription renewals, reorders, and certain promotional, bundle, pre-order, or collaboration items may be excluded.

Discount code. Approved Ambassadors receive a unique discount code (e.g., 10% off) to share with their audience, subject to exclusions we set (e.g., bundles, pre-orders, other promotions). Codes remain our property, are for your audience's use, and may be rotated, limited, or deactivated at our discretion. Codes may not be posted to coupon/deal aggregators (see Section F).

Payouts & taxes. Payouts are processed through Shopify Collabs on its standard schedule and minimum-threshold terms. You are an independent contractor responsible for your own taxes; you must provide a valid W-9 (or applicable tax form) to receive payment, and we may issue a 1099 where required by law. No minimum earnings are guaranteed. Commissions earned through fraud, self-referral, or a violation of these Terms are void.

D. Product Samples & Gifting

From time to time, and at our sole discretion, approved Ambassadors may receive complimentary Praise product ("Samples") — for example, by submitting a request through our gated Ambassador Samples form.

Samples create a "material connection" that you must disclose in any content featuring them (see Section G). Receiving free product is exactly the kind of relationship the FTC requires you to disclose.
Samples are provided for your personal use and content creation only, are not for resale, and remain subject to these Terms.
We may limit, condition, or discontinue Samples at any time. Requesting Samples does not guarantee you will receive them.

E. Permitted Uses

You may promote Praise using your approved ambassador link and code through your own authentic social media, website, blog, email list, newsletter, podcast, and similar channels, in a manner consistent with these Terms, the Approved Claims Guide, and all applicable platform rules and laws. We may provide additional creative guidance, briefs, assets, and permitted-use policies through Shopify Collabs or our ambassador communications, which we may update at any time.

F. Prohibited Uses

You may not, without our prior written permission:

Post your ambassador link or code on coupon, cashback, or deal-aggregator sites or extensions (e.g., Reddit deal threads, Honey, RetailMeNot, Slickdeals, Google coupon results).
Bid on Praise brand terms or trademarks in paid search or ads (e.g., Google, Bing, Meta), or run paid ads using the Praise name, trademarks, logos, or imagery, without authorization.
Reuse Praise's original content, photography, or copy without written permission.
Post your link/code on Praise's own corporate or creator profiles or comment sections.
Register domain names, social handles, or usernames that include or are confusingly similar to Praise trademarks.
Simultaneously promote directly competing products (e.g., other electrolyte, hydration, or drink-mix brands) while participating, unless we expressly approve.
Use spam, bots, fake accounts, incentivized-without-disclosure reviews, or any deceptive or manipulative tactics.
Message Praise employees on their personal accounts, or request non-public information (unreleased products, other customers' order details, internal data).

Violations may result in termination and forfeiture of unpaid commissions.

G. Health, Supplement & Endorsement Disclosure Compliance

This section is mandatory and central to the Program. Praise sells dietary supplement / functional beverage products, and your content is legally your responsibility and, potentially, ours.

G.1 FTC Disclosure — Required in Every Post

You must clearly and conspicuously disclose your material connection to Praise in every piece of content that promotes Praise — including feed posts, stories, reels, videos, livestreams, podcasts, blog posts, and reviews. Acceptable disclosures include "#ad," "#sponsored," "#PraiseAmbassador," or a plain-language statement that you are a paid/gifted Praise Ambassador.

The disclosure must be easy to notice and understand — placed up front (not buried in a hashtag block or "more" cutoff), and spoken aloud and/or shown on screen in videos.
Receiving commissions, discount codes, or free product all require disclosure.

G.2 Prohibited Product & Health Claims

You may not state, imply, or suggest that any Praise product:

cures, treats, prevents, diagnoses, or mitigates any disease, condition, or symptom;
is "clinically proven," "FDA approved," "doctor recommended," or similar, without our prior written substantiation;
causes weight loss, affects GLP-1 medications, affects fertility, or produces any specific medical/physiological outcome; or
makes any structure/function or health claim that we have not approved in writing.

You may not give medical or nutritional advice, position yourself as a medical authority, or market Praise to children under 13 (COPPA).

G.3 Acceptable Language

You may share your genuine personal experience and lifestyle framing, such as: "helps me stay hydrated," "my go-to after a workout," "clean ingredients I feel good about," "part of my daily routine." When in doubt, use our Approved Claims Guide (provided to approved Ambassadors) — it governs what you can and cannot say. If it is not in the guide and you are unsure, ask before you post.

Violations of this Section may result in termination, forfeiture, and may expose you to personal liability (see Section O).

H. Faith, Values & Content Standards

Praise is a faith-based, family-friendly brand, and as an Ambassador you represent it. Your Praise-related content, and your public conduct while identified as a Praise Ambassador, must:

Reflect Praise's mission and values and remain respectful and family-friendly;
Not contain or promote hateful, harassing, discriminatory, obscene, pornographic, violent, defamatory, or unlawful material; and
Not disparage others or wade into gratuitously divisive or inflammatory topics in a way that reflects poorly on the brand.

We may ask you to remove or modify content that, in our reasonable judgment, conflicts with these standards.

I. Content License & Publicity Rights

By creating and posting content that features Praise (including your name, handle, likeness, voice, and the content itself), you grant Praise a worldwide, royalty-free, non-exclusive, sublicensable license to use, reproduce, edit, display, and distribute that content and your handle/name/likeness for Praise's marketing and promotional purposes across all channels (including our website, social media, ads, email, and packaging), for the duration of the Program and a reasonable period thereafter. You represent that you have all rights necessary to grant this license (including rights to any music, people, or third-party material in your content). We will make reasonable efforts to credit you where practical, but crediting is not required.

J. Representations & Warranties

You represent and warrant that: (a) you are 18+ and have authority to enter these Terms; (b) your participation and content will not violate any law, platform terms, or third-party agreement; (c) your content is original or properly licensed and does not infringe any intellectual-property, privacy, or publicity right; and (d) your content will not be false, misleading, defamatory, obscene, hateful, or otherwise objectionable.

K. Intellectual Property

Praise and its logos, trademarks, and brand assets are the property of Praise. We grant you a limited, revocable, non-exclusive license to use approved Praise names, logos, and assets solely to promote the Program consistent with these Terms and any brand guidelines we provide. All goodwill from that use inures to Praise. You acquire no ownership rights, and this license ends when your participation ends.

L. Confidentiality

You will keep confidential all non-public information you learn through the Program — including unreleased products and launches, pricing, discount-code details, formulations, suppliers, customer data, marketing plans, commission terms, and the contents of any private ambassador workspace, Shopify Collabs materials, or community channel — except where we authorize disclosure in writing or the law requires it. This obligation survives termination.

M. Independent Contractor Status

You are an independent contractor, not an employee, agent, partner, or joint venturer of Praise. You have no authority to bind Praise or make commitments on its behalf. You receive no employee benefits, and you are solely responsible for your own taxes, expenses, and compliance. You must provide a W-9 (or applicable form) to receive payouts.

N. Term & Termination

These Terms apply for as long as you participate in the Program. Either party may end participation at any time, with or without cause or notice. You may withdraw by emailing creators@drinkpraise.com and discontinuing use of your link, codes, and any Praise assets.

Upon termination: (a) you must stop using your ambassador link, codes, and Praise assets; (b) commissions earned in good standing are paid per the standard Shopify Collabs payout terms; and (c) commissions associated with a violation of these Terms are forfeited. Sections G through T survive termination.

O. Indemnification

You agree to indemnify, defend, and hold harmless Praise, Praise Energy, LLC, and their officers, employees, and affiliates from and against any claims, losses, damages, liabilities, costs, and reasonable attorneys' fees arising out of or related to: (a) your breach of these Terms or your representations; (b) your content or statements (including any health, structure/function, or other regulated claim, and any failure to disclose); (c) your negligence or misconduct; or (d) any third-party claim arising from your participation.

P. Disclaimers & Limitation of Liability

The Program is provided "as is." To the maximum extent permitted by law, Praise disclaims all warranties regarding the Program, and Praise's total liability to you relating to the Program will not exceed the total commissions paid to you in the [three (3) months] preceding the claim. Praise is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or opportunities.

Q. Non-Disparagement

You will not publicly disparage or make false or misleading negative statements about Praise, its products, employees, or business. This does not restrict truthful statements to a government agency or as otherwise protected by law. This obligation survives termination.

R. No Publicity

Beyond ordinary, properly disclosed social-media content permitted under these Terms, you may not issue press releases or engage in formal media activity (e.g., interviews identifying yourself as a Praise representative) without our prior written permission.

S. Compliance with Laws

You will comply with all applicable laws and regulations, including the FTC Act and Endorsement Guides, FDA/FTC rules governing dietary-supplement and health-related advertising, COPPA, and the terms of service of the platforms you use.

T. Changes to These Terms

We may update these Terms at any time. The current version — with its version number and effective date — is posted at drinkpraise.com/pages/ambassador-terms. Material changes take effect when posted (or on any later stated date). Your continued participation constitutes acceptance. We keep a record of the terms version and date you agreed to.

U. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-laws principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Program will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, seated in Hamilton County, Ohio. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. Disputes will be resolved on an individual basis only. You and Praise each waive any right to bring or participate in a class, collective, consolidated, or representative action or arbitration.

Carve-outs. Either party may (a) bring an individual claim in small-claims court, and (b) Praise may seek injunctive or equitable relief in the state or federal courts located in Hamilton County, Ohio to protect its intellectual property, trademarks, or confidential information. You waive any objection to jurisdiction or venue in those courts.

V. Miscellaneous

Assignment. You may not assign these Terms without our written consent; we may assign them to an affiliate or successor.
Severability. If any provision is unenforceable, the rest remains in effect and the provision is modified to the minimum extent needed to be enforceable.
No Waiver. Our failure to enforce a provision is not a waiver of future enforcement.
Entire Agreement. These Terms, together with the Approved Claims Guide, any tier addenda, and the applicable Shopify Collabs terms, are the entire agreement between you and Praise regarding the Program and supersede prior understandings.
Knowing & Voluntary. By agreeing, you acknowledge that you understand these Terms, agree to them knowingly and voluntarily, and were advised of your right to consult an attorney.
